NDA Agreement



BETWEEN:

And together, for short, referred to as the "Parties",


This NDA Agreement is concluded and reciprocally accepted, which is governed by the following clauses:


RECITALS

WHEREAS, the Accountant and the Client wish to explore a potential business relationship and, in connection with this potential relationship, each party may disclose to the other certain confidential and proprietary information;

WHEREAS, the parties desire to establish terms governing the use, protection, and disclosure of such confidential information;  NOW, THEREFORE, in consideration of the mutual promises and covenants contained in this Agreement, the parties agree as follows:


1. Definition of Confidential Information

“Confidential Information” means any non-public information disclosed by either party, directly or indirectly, in writing, orally, or by inspection of tangible objects, which is designated as “Confidential” or which a reasonable person would understand to be confidential.



2. Obligations of Confidentiality

Both parties agree to:

  • Maintain the confidentiality of the Confidential Information;

  • Use the Confidential Information solely for the purpose of evaluating the potential business relationship between the Accountant and the Client;

  • Disclose Confidential Information only to those employees or representatives of each party who have a need to know and who are bound by confidentiality obligations.


3. Exclusions from Confidential Information

Confidential Information does not include information that:

  • Is or becomes publicly available through no breach of this Agreement;

  • Was in the receiving party’s possession before receipt from the disclosing party;

  • Is received from a third party without breach of any obligation of confidentiality.


4. Term

This Agreement shall remain in effect for a period of 5 years from the date of disclosure of the Confidential Information or until the Confidential Information is no longer confidential, whichever occurs first.


5. No License

Nothing in this Agreement grants any license or other rights under any patent, trademark, copyright, or other intellectual property rights of the disclosing party.


6. Governing Law

This Agreement shall be governed by the laws of Portugal


7. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior agreements, understandings, and negotiations.


IN WITNESS WHEREOF, the parties hereto have executed this Non-Disclosure Agreement as of the date first above written.
